EXECUTIVE COMMITTEE MEETING

 

Subcommittee Reports:
Ben Forman will propose splitting the focus of Software Co-op project into (1) those agencies planning to replace/upgrade software and (2) those interested in forming an “IT mutual aid co-op.””.  He will seek the input of the EC and present the consensus on the direction of this project at the full Board meeting.

 

Action Items:

(1)   Responding to a request from the State Vanpool Committee, staff has prepared a proposal to increase the MEP limits and premium.  The EC will make a recommendation to the full Board.

(2)   General Counsel has done an excellent job transcribing the Comprehensive Financial Program Resolution into the new policy statement format.   During this process the conflicts and overlap between that Resolution and the By-Laws were identified, with two recommendations for the EC to eliminate duplication between the policy statement and the By-Laws: fidelity bond language in section 5 of the Investment Policy (see tab 12) and annual audit requirements in section 1 of the Internal Controls Policy (see tab 13).   Staff has also requested changes to certain dollar thresholds and noted where practice differs from policy – which is why the Accounting policy statement (formerly tab 6) has been dropped from the agenda (it covered accounting principles - already in the By-Laws - and establishes a petty cash fund – none exists or is needed).    General Counsel is planning to bring the complementary changes to the By-Laws to the July EC meeting so that a recommendation can be made to the full Board at the October 1 meeting.  As the Sharepoint comment period has closed, any “word-smithing” changes to the proposed statements will be discouraged.

 

Discussion:

(1)   Tom Kramer will present his assessment of the potential for public entity fiduciary liability claims and review the apparent trends in the legal theory.  This is an opportunity for us to assess this risk area from a qualitative point of view (several agencies are completing applications to enable a more quantitative assessment).   Mr. Kramer welcomes your questions.

 

Executive Session:

The attorney client privileged e-mails exchanged between the General Counsel and the Executive Director (with copies to the Executive Committee) raised several issues that bear further discussion.

We’ll review the work plan for the next few months and adjourn in time for lunch.

 Look forward to an educational afternoon: Transit oriented land use planning, Intercity and Pierce Transit’s work with Select, Inc on emergency preparedness and security plans, and “what’s the deal with MEP/UIM”?

BOARD MEETING:

Introductions:  An opportunity to welcome Shannon Stuber and hear the priorities of the State Risk Manager.

Executive Committee Report
Members of the EC will cover project progress with the full Board and engage in Q&A.

(1)   Jeff Ristau will share the preliminary results from the TDP data gathering effort and with Al Hatten discuss the upcoming Strategic Planning Symposium.

(2)   Ben Foreman will discuss the proposed direction for the Software Co-op project.

 

Staff Reports: Notwithstanding unusual items (and the broker’s report) that staff wants to highlight for the Board; this is primarily a Q&A session – so please read the material and come with your questions.

 

Action Items:

(1)   Defining Governance Policy is the purview of the full Board, and this statement will be combined with the official repeal of the Comprehensive Financial Management. Program Resolution

(2)   Amending the limits of the Medical Expense Protection requires full Board action.

 

Other Items:

(1)   Staff will discuss the property Insurance renewal effective July 1 and the new “Green” option.

(2)   Al Hatten will cover the status of WSTIP’s equity in GEM.
